By accessing or using the website at www.irizarel.shop (the "Site") or engaging the services of IRIZAR ELECTRIC LLC ("IRIZAR ELECTRIC," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not access the Site or use our services. These Terms constitute a legally binding agreement between you and IRIZAR ELECTRIC LLC.
IRIZAR ELECTRIC LLC provides professional computer systems design and related services, including but not limited to: systems architecture and design, cybersecurity and compliance, cloud infrastructure solutions, systems integration, data engineering and analytics, DevOps and automation, IT consulting and strategy, managed IT services, and custom software development. The specific scope, deliverables, timelines, and fees for each engagement shall be defined in a separate written service agreement executed by both parties.
Clients agree to: provide accurate, complete, and timely information necessary for the performance of services; grant reasonable access to systems, facilities, and personnel as required; designate a point of contact authorized to make decisions on behalf of the client; comply with all applicable laws, regulations, and licensing requirements; maintain the confidentiality of any account credentials, access keys, or security tokens provided; and not use our services for any unlawful, fraudulent, or unauthorized purpose.
Deliverables: Upon full payment of all applicable fees, ownership of any deliverables specifically developed for a client under a service agreement shall transfer to the client. IRIZAR ELECTRIC retains a non-exclusive license to use general methodologies, processes, and tools developed during the engagement.
Pre-existing Materials: Each party retains all rights, title, and interest in its pre-existing intellectual property, including patents, copyrights, trade secrets, and trademarks. Neither party acquires any rights in the other party's pre-existing intellectual property.
Website Content: All content on our Site, including text, graphics, logos, images, and software, is the property of IRIZAR ELECTRIC LLC or its licensors and is protected by applicable intellectual property laws.
Service fees shall be as set forth in the applicable service agreement. Invoices are due within thirty (30) days of the invoice date unless otherwise specified. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts that are more than thirty (30) days past due.
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the engagement. Confidential information includes, without limitation, business plans, technical data, client lists, financial information, and system architectures. This obligation survives the termination of the service agreement for a period of three (3) years.
To the maximum extent permitted by applicable law, IRIZAR ELECTRIC LLC's total liability for any claims arising out of or relating to these Terms or our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim. In no event shall IRIZAR ELECTRIC LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, even if advised of the possibility of such damages.
We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. Services are provided "as is" and "as available" without any other warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free from harmful components.
You agree to indemnify, defend, and hold harmless IRIZAR ELECTRIC LLC, its officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Site, violation of these Terms, or infringement of any third-party rights.
Either party may terminate a service agreement for convenience upon thirty (30) days written notice. Either party may terminate immediately upon a material breach by the other party that remains uncured for fifteen (15) days after written notice. Upon termination, the client shall pay for all services rendered up to the effective date of termination. Sections concerning payment, intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. Any dispute arising from these Terms or our services shall first be submitted to good-faith negotiations between the parties. If the dispute cannot be resolved within thirty (30) days, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration to take place in Cleveland, Ohio.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or our services after any changes constitutes acceptance of the modified Terms. We will make reasonable efforts to notify clients of material changes via email or website notice.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
These Terms, together with any service agreements and supporting documents, constitute the entire agreement between you and IRIZAR ELECTRIC LLC regarding your use of the Site and our services, superseding all prior agreements and understandings.
